These Terms of Service govern your use of the Melanchi OÜ website and, where applicable, the services we provide. By accessing our website or engaging our services, you agree to these terms.
1. Services
Melanchi OÜ provides IT service management and technical consulting. Our services include, but are not limited to:
- IT service management and support operations
- CRM and helpdesk systems consulting and configuration
- Process optimization and workflow design
- Team and delivery management
- Technical advisory, maintenance, and ongoing support
The specific scope, deliverables, and terms of any engagement are defined in a separate service agreement between the parties.
2. Acceptance of Terms
By accessing and using the services provided by Melanchi OÜ, you accept and agree to be bound by these terms. Where a separate signed service agreement exists, that agreement governs the engagement and prevails over these terms in the event of any conflict.
3. Payment Terms
Fees and payment terms are specified in the applicable service agreement or invoice. Unless otherwise stated in writing, invoiced amounts are due as set out in that agreement.
4. Client Responsibilities
To deliver our services effectively, we rely on the client to provide accurate information, timely access to relevant systems and people, and any materials reasonably required for the work. Delays in providing these may affect timelines.
5. Intellectual Property
Ownership of deliverables and any intellectual property created in the course of an engagement is determined by the applicable service agreement. Each party retains ownership of the materials, tools, and know-how it held prior to the engagement.
6. Confidentiality
Each party may receive confidential information from the other in the course of an engagement. Both parties agree to protect such information, use it only for the purpose of the engagement, and not disclose it without authorisation, in accordance with the applicable service agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Melanchi OÜ's liability arising out of or in connection with its services is limited to the amount paid for the services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate an engagement with written notice as specified in the applicable service agreement. Termination does not affect obligations incurred prior to the termination date.
9. Governing Law
These terms are governed by the laws of Estonia. The governing law and dispute resolution for any specific engagement are set out in the applicable service agreement.
